By accessing our website, creating an account, using our tools, submitting artwork, requesting a quote, or placing an order, you agree to these Terms and our incorporated policies. If you do not agree, do not use the website or services.

1. Eligibility and Authority

You must be at least 18 years old and legally capable of entering into a binding agreement to use our ordering services.

If you use Promo Ink AI on behalf of a business, school, government agency, nonprofit organization, or another entity, you represent that you are authorized to accept these Terms and place orders on that entity's behalf.

3. Website Accounts

Certain features may require an account. You agree to:

• Keep your login credentials confidential
• Update your account information when it changes
• Accept responsibility for authorized activity under your account
• Notify us promptly of suspected unauthorized access

We may suspend or close an account used fraudulently, unlawfully, abusively, or in violation of these Terms.

4. Products and Availability

Promo Ink AI provides access to a broad selection of promotional products. Product availability, materials, colors, dimensions, packaging, decoration methods, minimum quantities, production times, and specifications may change.

Images are provided for general reference. Screen settings, lighting, photography, manufacturing processes, and material differences may cause the finished product to appear different from an online image.

We may correct product descriptions, specifications, availability, or pricing errors at any time. If a material correction affects an order, we will notify you and provide available options before proceeding.

We will not substitute a materially different product without your approval when approval is required by applicable law.

5. Quotes and Pricing

Quotes are based on the information available when issued and remain valid for the period stated in the quote. If no expiration date is provided, a quote is valid for [INSERT NUMBER] days.

Pricing may depend on:

• Product color and size
• Number of imprint colors or locations
• Decoration method
• Artwork preparation
• Setup charges

A website cart, automated estimate, AI recommendation, or design preview does not guarantee final pricing. Final charges will be shown in the order confirmation or written quote.

If a pricing or configuration error is discovered, we may cancel the affected item or contact you for approval of corrected terms. If we cancel an item because of our error, amounts paid for that item will be refunded.

6. Order Submission and Acceptance

Submitting an order is an offer to purchase the selected products and services. An automated acknowledgment confirms that we received your submission but does not necessarily mean that the order has been accepted for production.

An order may require:

• Product and inventory confirmation
• Artwork review
• Proof approval
• Payment authorization
• Shipping verification
• Compliance or licensing review
• Confirmation of the requested production schedule

We may decline or cancel an order before production for reasons including product unavailability, pricing errors, artwork restrictions, suspected fraud, legal concerns, supplier limitations, or an inability to meet the requested specifications.

If we cancel an order before production and no substitute is accepted, we will refund the applicable amount paid, subject to lawful deductions for separately authorized and completed services.

7. Payment

You agree to provide current, complete, and accurate billing information and authorize Promo Ink AI and its payment providers to charge the approved amount.

Depending on the order, we may require:

• Full payment before production
• A deposit
• Credit-card authorization
• Approved account terms
• Payment of a remaining balance before shipment

Late or declined payments may delay artwork, production, or shipping. You are responsible for authorized taxes, collection expenses, chargeback costs, and other amounts permitted by law.

Do not initiate a chargeback for a problem that can reasonably be addressed through our customer service and claim-review process. This provision does not limit any lawful billing-dispute rights.

8. Taxes and International Charges

Applicable sales, use, excise, or similar taxes may be added to the order.

Tax-exempt customers must provide valid exemption documentation before the order is finalized. We are not responsible for tax charged before acceptable documentation is received.

For international shipments, the recipient may be responsible for customs duties, import taxes, brokerage charges, documentation, inspections, and other destination-country requirements.

9. Customer Artwork and Content

You retain the rights you hold in the logos, names, designs, photographs, text, trademarks, and other materials you submit.

You grant Promo Ink AI and its suppliers a limited, nonexclusive license to reproduce, modify, format, transmit, and use submitted materials as reasonably necessary to:

• Prepare artwork and proofs
• Manufacture and decorate products
• Complete and deliver the order
• Provide customer support
• Maintain order and reorder records

You represent that you own or have permission to use and reproduce all submitted materials. You are responsible for obtaining licenses or approvals for trademarks, copyrighted works, school logos, sports logos, celebrity images, character artwork, and other protected material.

We may reject or pause an order if authorization is unclear.

10. Prohibited Content

You may not submit or request content that:

• Violates intellectual property or privacy rights
• Is unlawful, fraudulent, threatening, or defamatory
• Promotes illegal activity
• Contains malicious software or code
• Exploits or endangers minors
• Impersonates another person or organization
• Violates applicable sanctions or trade restrictions
• Is otherwise reasonably considered unsafe or inappropriate for production

Our decision to review or accept artwork does not transfer responsibility for that content to Promo Ink AI.

11. Artwork Preparation and Proofs

Artwork requirements vary by product and decoration method. Vector artwork is generally preferred, but other formats may be accepted depending on production needs.

Artwork preparation, redrawing, color matching, digitization, setup, or design charges may apply. Any applicable charges will be disclosed or approved before the related work proceeds.

When a proof is provided, you are responsible for reviewing:

• Spelling and punctuation
• Names, dates, numbers, and addresses
• Logo and design accuracy
• Product and imprint colors
• Imprint size, position, and orientation
• Product selection
• Quantity and shipping information

Production may begin immediately after approval. Promo Ink AI is not responsible for customer-supplied errors or errors visible in a proof approved by the customer.

12. Virtual Designer and AI-Powered Services

Promo Ink AI may offer a Custom AI Campaign Advisor, Virtual Designer, automated recommendations, generated text, design concepts, product suggestions, or similar tools.

These features are provided to assist with discovery and creative planning. AI-generated or automated results may be incomplete, inaccurate, unavailable, unsuitable, or similar to results produced for other users.

You are responsible for reviewing all AI-assisted results before relying on them or submitting an order.

AI tools do not guarantee:

• Product availability
• Final pricing
• Delivery by a particular date
• Printing or decoration compatibility
• Campaign performance
• Legal compliance
• Originality or exclusivity
• Trademark or copyright clearance

Do not submit confidential, regulated, or sensitive personal information through an AI feature unless the feature expressly requests it and the applicable privacy terms permit it.

13. Rights in AI-Assisted Materials

You retain your rights in the original content you submit to our AI and design tools.

To the extent permitted by applicable law and subject to third-party rights, you may use the specific AI-assisted design output delivered for your order. However, Promo Ink AI does not guarantee that an AI-generated element is copyrightable, exclusive, or free from similarity to other material.

You are responsible for reviewing AI-assisted content for intellectual property, advertising, regulatory, and other legal concerns before commercial use.

Promo Ink AI retains all rights in its underlying website, software, systems, models, workflows, templates, interfaces, and technology.

14. Color and Production Variations

Minor variations are normal in promotional product manufacturing and are not necessarily defects. Variations may include:

• Product or imprint color
• Imprint position, scale, or alignment
• Texture, grain, weave, or finish
• Product dimensions or weight
• Packaging
• Appearance across separate production runs
• Results on different materials
• Screen-to-product color differences

Exact PMS color matching may not be available for every item or process and may require an additional charge.

15. Production Times

Production time varies by product, decoration method, quantity, inventory, artwork, approvals, payment, and production capacity.

Unless otherwise stated, production time begins only after:

• Final artwork has been accepted
• Required proof approval has been received
• Product availability has been confirmed
• Payment requirements have been completed
• All necessary order information has been supplied

Production time does not include shipping time.

16. Rush Production and Expedited Shipping

Select products may qualify for 24-hour rush production. Eligibility depends on inventory, quantity, artwork readiness, decoration method, payment, approval, order time, and supplier capacity.

“24-hour production” does not mean 24-hour delivery. Production and carrier transit are separate.

Next-day or expedited shipping may be available, but carrier schedules and delivery estimates are not guarantees unless expressly confirmed in writing.

17. Shipping and Delivery

Delivery dates are estimates unless Promo Ink AI expressly provides a written guarantee.

Shipping may be affected by:

• Customer approval delays
• Inventory changes
• Supplier or carrier disruptions
• Weather or natural disasters
• Holidays
• Customs processing
• Incorrect addresses
• Security inspections
• Events beyond reasonable control

Risk of loss and title will transfer as provided by applicable law and the shipping terms stated in the order confirmation.

Inspect all merchandise promptly after delivery and report missing, damaged, defective, or incorrect items within the period stated in our Return and Cancellation Policy.

18. Shipping Delays and Unavailable Products

If we cannot ship within the promised timeframe, Promo Ink AI will provide any notice, delay-consent option, cancellation opportunity, or refund required by applicable law.

If a product becomes unavailable, we may offer an alternative. We will obtain approval before using a materially different substitute when required.

Nothing in these Terms limits a customer's non-waivable right to cancel and receive a refund for unshipped merchandise when required by law.

19. Multiple-Destination Shipping

Split shipping and fulfillment services may be available for an additional charge.

Customers are responsible for providing complete, correctly formatted, and timely address information. Address corrections, returned packages, reshipments, storage, and additional handling may result in additional charges.

20. Cancellations, Returns, and Refunds

Customized merchandise is made specifically for each customer. Therefore, customized orders are generally final and non-refundable except for confirmed damage, manufacturing defects, material production errors, unshipped merchandise, or other circumstances required by law.

Cancellation requests are not effective until confirmed in writing by Promo Ink AI. Cancellation may not be possible after artwork preparation, product allocation, setup, rush processing, or production begins.

21. Damaged, Defective, or Incorrect Merchandise

Claims must be submitted according to our Return and Cancellation Policy and should include:

• The order number
• A description of the issue
• The number of affected items
• Photographs of the merchandise
• Photographs of cartons, labels, and packaging when applicable

Keep all affected merchandise and packaging until the claim is resolved.

If a claim is verified, Promo Ink AI may provide a reprint, replacement, correction, account credit, or refund for the affected merchandise, subject to applicable law.

22. Samples

Samples may be available for certain products. Sample pricing, decoration, shipping, availability, and return requirements vary.

A sample is intended to demonstrate the general product. Minor differences may exist between a sample and a later production run.

23. Price Match Guarantee

The Promo Ink AI Price Match Guarantee applies only to qualifying, verifiable offers for materially equivalent products and services.

A comparison may need to include the same product, quantity, decoration, imprint locations, setup, artwork, shipping, production schedule, and other material terms.

24. Website Ownership

Unless otherwise stated, the Promo Ink AI website and its original content, branding, layouts, graphics, text, software, interfaces, product-selection systems, and technology are owned by or licensed to Promo Ink AI and are protected by applicable intellectual property laws.

You may use the website only for lawful personal or business purchasing purposes. You may not copy, scrape, reverse engineer, republish, resell, interfere with, or commercially exploit the website or its systems without written permission.

25. Third-Party Products and Services

Our website may contain products, content, integrations, links, or services supplied by third parties.

Third parties may have their own terms and privacy practices. Promo Ink AI is not responsible for an unaffiliated third party's website, content, security, or independent conduct.

References to third-party brands do not necessarily imply sponsorship, endorsement, or affiliation.

26. Website Availability

We may update, suspend, restrict, or discontinue any website feature at any time.

We do not guarantee that the website, AI tools, account system, or Virtual Designer will always be uninterrupted, secure, or error-free. Planned maintenance, technical problems, security events, or third-party outages may affect availability.

27. Disclaimer of Warranties

To the maximum extent permitted by law, the website, AI tools, design tools, recommendations, and online content are provided “as is” and “as available.”

Promo Ink AI disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade, except where such disclaimers are prohibited or where a specific written warranty applies.

Some jurisdictions do not permit certain warranty exclusions, so parts of this section may not apply to you.

28. Limitation of Liability

To the maximum extent permitted by law, Promo Ink AI and its owners, employees, contractors, suppliers, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost business, lost data, missed opportunities, or event-related losses.

To the maximum extent permitted by law, Promo Ink AI's total liability arising from a particular order will not exceed the amount paid to Promo Ink AI for the portion of that order giving rise to the claim.

These limitations do not apply where prohibited by law or to liability that cannot legally be limited.

29. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Promo Ink AI and its owners, employees, contractors, suppliers, and service providers from third-party claims, damages, losses, and reasonable expenses arising from:

• Artwork or content you submit
• Your infringement of intellectual property or privacy rights
• Your unlawful use of the website or products
• Your violation of these Terms
• False representations concerning your authority or permissions

This section does not require indemnification for conduct solely attributable to Promo Ink AI where prohibited by law.

30. Force Majeure

Promo Ink AI is not responsible for delays or failures caused by circumstances beyond its reasonable control, including severe weather, natural disasters, fire, labor disruptions, transportation interruptions, government action, war, terrorism, public-health emergencies, power failures, cyberattacks, supplier failures, material shortages, or carrier disruptions.

This section does not eliminate any cancellation or refund right required by applicable law.

31. Privacy and Electronic Communications

Our collection and use of personal information are described in our Privacy Policy.

By using the website or placing an order, you consent to receive transactional electronic communications, including confirmations, proofs, invoices, delay notices, shipping updates, and customer-service messages.

Marketing communications are subject to separate consent and applicable unsubscribe rights.

32. Governing Law and Venue

Changes apply prospectively unless otherwise stated or permitted by law. The Terms in effect when an order is placed generally govern that order.

35. Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the greatest extent permitted, and the remaining provisions will remain in effect.

36. No Waiver

A failure to enforce any provision of these Terms is not a waiver of the right to enforce it later.

37. Assignment

You may not assign your rights or obligations under these Terms without written permission from Promo Ink AI.

Promo Ink AI may assign these Terms as part of a merger, acquisition, reorganization, financing, sale of assets, or transfer of business operations, subject to applicable law.

38. Entire Agreement
